| AGENCY AGREEMENT |

QP Employment (Pvt) Ltd. 1st Floor, 473,
Galle Road, Colombo 03, Sri Lanka.

to as the Agent) |
Both Parties agree as follows:
| 1. |
The Principal hereby appoints QP
Employment (Pvt) Ltd., as its sole authorised Manpower Recruiting Agent in Sri Lanka. |

| Responsibilities

| 2. |
The Principal shall authorise the
Agent, through a Power-of-Attorney or through their Representative(s) to select personnel
from Sri Lanka developed by the Agent in terms of the job specification given in the
Demand Letter for employment in ....

| 3. |
The Principal shall furnish the
Agent with a signed and sealed Demand Order Letter (Job Order) which shall state the
following:
- Categories and numbers of personnel required
- The salary and other allowances payable each category
- Whether free meals or allowance in lieu thereof shall
be provided/paid
- Whether free accommodation or accommodation allowance
in lieu will be provided/paid
- Whether free medical facilities shall be provided

| 4. |
The Principal shall also
forward a signed sealed Contract of Employment which shall contain the following: |

Duration of Contract
- The duration of the contract initially shall be for a
period of two years and renewable by mutual agreement.
Air Passage
- The Principal shall provide return or one
way Air Ticket free for all employees after completion of contract free of charge,
depending on whether they would return for employment or whether they have terminated
their employment and do not wish to return for employment.

Working Hours

- Working hours shall be eight (8) per day for skilled
employees totaling to 48 hours per week.
- Overtime shall be paid for work during off duty hours
and off duty days at the rates stipulated by the Labour Laws of the country.
- One day off per week for all employees.

Annual Leave

Employee/employees
